The “Visitors” may not copy, modify, or transfer for their own use or to another party example reports, example graphs, example screen layouts, database structures, images, web page content, software available on or through the “Site” (hereinafter termed “Content”) in whole or in part. Visitors may not disassemble or de-compile any portion of “Content”. Any attempt to transfer any of the rights, duties, or obligations hereunder is prohibited. “Visitors” may not demonstrate, display, or transfer any portion of the “Content” to any software developers or software suppliers, consultants, developers, integrators.

This “Site” and “Content” contains certain information and/or tangible material of a confidential nature. This information may concern, without limitation, information as to designs, software functionality and user interfaces, materials, processes, equipment, devices ,costs, and the like (hereinafter termed "MT Information"). In view of the foregoing, it is hereby agreed as follows - All “MT Information” which is viewed, shall be received and maintained by the “Visitors” in strict confidence. The “Visitors” shall confine its dissemination of “MT Information” to those individuals within its organization who have a direct and immediate need for such information. “Visitors” shall make no use of the “MT Information” except as specified for internal use. This prohibition includes without limitation disclosure by “Visitors” of the “MT Information” to any other organization, company, or persons or misuse of the “MT Information” in any manner.

3. COPYRIGHT/TRADEMARKS

The trademarks, logos and service marks ("Marks") displayed on the “Site” are the property of Manufacturing Technology Inc. or other parties. Users are prohibited from using any Marks for any purpose including, but not limited to use as metatags on other pages or sites on the World Wide Web without the written permission of Manufacturing Technology or such third party which may own the Marks. All “MT Information” and “Content” including any software programs available on or through the Site is protected by copyright. “Visitors” are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any “Content” or “MT Information” available on or through the Site for commercial or public purposes.

4. GUARANTEE AND DISCLAIMER OF WARRANTY:

The “Content” is provided 'AS-IS' and the “Visitors” accept the entire risk as to the quality and performance of the “Content”. MT expressly disclaims all warranties, whether express or implied, including the implied warranties or merchantability and fitness for a particular purpose. No oral or written information or advice given by MT, its employees, distributors, dealers or agents shall increase the scope of the above warranties or create any new warranties.

Some states do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In that event, any implied warranties are limited in duration to thirty (30) days from the date of delivery of the “Content” and / or Software. This warranty gives you specific legal rights. You may have other rights, which vary from state to state.

5. LIMITATIONS OF REMEDIES:

In no event will MT be liable to you for any damages, including any lost profits, lost data, report errors or other incidental or consequential damages, arising out of the use or inability to use the Software or any data supplied therewith, even if MT or an authorized MT dealer has been advised of the possibility of such damages, or for any claim by any other party. MT is not responsible for the cost of correcting any error in the Software. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages so the above limitation or exclusion may not apply to you.

6. GENERAL:

This Agreement will be governed by the laws of the State of New York , except for that body of law dealing with conflicts of law. If any provision of this Agreement is held to be unenforceable, that provision will be removed and the remaining provisions will remain in full force. This Agreement is the complete and exclusive statement of the agreement between us which supersedes any proposal or prior agreement, oral or written, and any other communications between us in relation to the subject matter of this Agreement.
